# Terms of Service

Effective October 13, 2026

## Who these terms are between

These terms are an agreement between you and Tidy Engineering, LLC, the company that runs Tidy. We call the company Tidy in this document. When you create an account or use Tidy, you accept these terms. If you use Tidy for an organization, you confirm you’re allowed to act for it, and these terms cover its use too.

You must be at least 18 years old to hold a Tidy account. An account is for the person who signed up. People you invite into your workspace each use their own sign-in.

## What you are buying

Tidy is a collaboration platform for people and virtual employees. It brings email, calendar, notes, tasks, files, contacts, and messages into one private system, with AI to organize the work and act within the access you grant.

Tidy has three plans: Core, Plus, and Max. The [pricing page](https://www.tidy.engineering/pricing) lists the current prices and what each plan includes, and it is part of these terms. In brief: every plan includes the Tidy product, the assistant, and the MCP server; Plus adds virtual employees, photos, podcasts, SMS, and automations; Max adds API access and personal access tokens. There is no free plan. Businesses and households buy the same product on the same plans.

## Billing

- **Pay in advance.** Plans are billed ahead, monthly or annually. Annual billing gives you two months free.
- **Free trial.** New accounts start with a free trial of 14 days, unless your invite says otherwise. It needs a payment card. If you don’t cancel before it ends, your plan starts and your card is charged.
- **Cancel anytime.** Cancel in Settings. You keep access until the end of the period you paid for, and you are not charged again.
- **Refunds.** We don’t refund partial billing periods. Where the law requires a refund, we give one.
- **Add-ons.** Add-on inboxes cost $18 per month each. Optional credit top-ups are sold in Settings.
- **Taxes.** Prices don’t include taxes. Where a tax applies, we collect it.
- **Payments** are processed by Stripe. We never see or store your full card number.

### If you stop paying

If your trial ends without a plan, a payment fails and isn’t fixed, or your plan ends, your workspace stops doing new work: the assistant, AI processing, and other paid features turn off. Your data stays. You can still sign in, read and manage what is there, ask us for a copy, or delete it. Start a plan again and the paid features come back.

We don’t delete an unpaid workspace on our own. If we ever decide to delete an inactive unpaid workspace, we will email you at least 30 days before.

## Your data

You own your content. We store it, sync it, and run AI on it so the product works. You can ask [privacy@tidy.engineering](mailto:privacy@tidy.engineering) for a copy of your data at any time. When you delete your account, your data is deleted as described on the [Data Deletion page](https://www.tidy.engineering/legal/data-deletion).

The [Privacy Policy](https://www.tidy.engineering/legal/privacy) explains what we collect and how we handle it.

## Acceptable use

Don’t use Tidy to break the law. Don’t attack the service or try to get around its limits. Don’t abuse people, and don’t use Tidy to harm others. The full rules are in the [Acceptable Use and Content Policy](https://www.tidy.engineering/legal/content-and-use), which is part of these terms.

## AI features and virtual employees

AI is part of the product. It triages your inbox, drafts, schedules, briefs you, and can act for you.

AI makes mistakes. It can misread an email or schedule the wrong thing. You are responsible for reviewing anything that matters. Tidy is not your lawyer, your accountant, or your doctor.

Virtual employees (on Plus and above) act inside the access and approvals you give them, and you are responsible for the actions you authorize. The [AI and Virtual Employees Terms](https://www.tidy.engineering/legal/ai-terms) are part of these terms.

## Accounts you connect

Tidy works by connecting to accounts you already have, such as Google and Microsoft. When you connect one, that provider’s own terms also apply. You choose what to connect, and you can disconnect in Settings. Tidy isn’t responsible for what a provider does inside its own service.

## On-device AI and the Gemma terms

On supported Android devices, Tidy can download Google’s Gemma 4 E4B model to process captures on the phone. The model is subject to Google’s [Gemma Terms of Use](https://ai.google.dev/gemma/terms).

## Apps and updates

The Tidy apps are licensed to you, not sold. They update so they stay safe and current. The Android app is distributed through Google Play.

## Templates

Tidy’s template gallery offers free templates published by Tidy. Applying one sets up part of your workspace. Review its setup before you rely on it.

## Copyright

Respect other people’s copyright. The [Copyright and DMCA Policy](https://www.tidy.engineering/legal/dmca) explains how to report infringement. We close the accounts of repeat infringers.

## Private beta

Tidy is in private beta. Features change while we build, and some may be withdrawn. We’ll tell you when something you rely on is going away.

## Ending and suspension

You can stop anytime: cancel your plan, ask for a copy of your data, and delete your account.

We may limit, suspend, or close an account that breaks these terms or the policies they point to. We use the smallest step that fixes the problem.

## Disclaimers and liability

Tidy is provided as is. We work hard to make it correct and available, but we don’t promise it will be perfect, uninterrupted, or fit every purpose.

As far as the law allows, Tidy’s total liability to you for any claim is limited to the greater of $100 or the amount you paid Tidy in the 12 months before the claim.

Some places don’t allow some of these limits. Where a limit isn’t allowed, it doesn’t apply to you.

## Disputes

If something goes wrong, contact us first; most problems are solved by talking. These terms are governed by the laws of the State of Connecticut. Any dispute goes to the state or federal courts in Connecticut, and you and Tidy both agree to their jurisdiction. Either of us may bring a claim in small-claims court instead, if it qualifies. There is no arbitration.

## Changes to these terms

When something important changes, we email you before it takes effect and update the effective date at the top of this page. If you keep using Tidy after the change takes effect, the new terms apply. If you don’t agree, you can stop using Tidy and delete your account.

## Notices and contact

Questions about these terms, and legal notices to Tidy: [support@tidy.engineering](mailto:support@tidy.engineering). We send notices to you at the email address on your account.

Consulting and other custom work from Tidy is done under its own signed agreement, not these terms. Tidy’s name and logo belong to Tidy Engineering, LLC.
